To elect three class II directors to our board of directors, to serve until the 2025 annual meeting of stockholders and until his or her successor has been duly elected and qualified, or until his or her earlier death, resignation or removal; 1.01 Alexis Borisy 1.02 Mark Murcko, Ph.D. 1.03 Laura Shawver, Ph.D. 2. To consider and act upon an advisory vote on the compensation of our named executive officers; 3. To consider and act upon an advisory vote on the frequency of future advisory votes on the compensation of our named executive officers; 4. To consider and approve an amendment to our Fourth Amended and Restated Certificate of Incorporation to increase the number of authorized shares of common stock from 150,000,000 to 300,000,000; 5. To ratify the appointment of Ernst & Young LLP as our independent registered public accounting firm for the fiscal year ending December 31, 2022; and 6.
